Terms and Conditions for Business Partners

This Agreement governs the cooperation between TimeToBook Sp. z o.o. and the Service Provider, who offers their services to third parties via the Platform. The terms of this Agreement apply to all bookings made through the Platform.
1. Definitions
1.1. The TimeToBook platform, operated by TIMETOBOOK SPÓŁKA Z OGRANICZONĄ ODPOWIEDZIALNOŚCIĄ, with its registered office at ul.ul. Świeradowska 47, 02-662 Warsaw, Poland, entered into the register of entrepreneurs of the National Court Register under number KRS0001172903, NIP 5214117593, REGON 54173145000000 (hereinafter: the “Platform” or “TimeToBook”), enables Service Providers to publish offers and Users to book services.
1.2. "Service Provider" means a business entity or individual offering services through the Platform.The Service Provider must be a registered business entity or an individual conducting business activity, of legal age, and legally capable. The Platform may require verification of documents confirming the Service Provider’s status.
1.3. "Services" – any experiences, activities, or other offerings made available by Service Providers through the Platform, whether conducted outdoors, indoors, or in a mixed setting.
1.4. "User" means an individual who searches for, books, or uses services through the Platform.
1.5. “Booking” – the User’s selection and payment for a Service offered by the Service Provider via the Platform, resulting in the conclusion of a direct agreement between the User and the Service Provider under specified terms and at a specified time. The Platform merely provides the technical infrastructure to facilitate the booking and does not participate in the delivery of the Service.
1.6. “Stripe Account” – an individual payment account operated by Stripe and created by the Service Provider, used to receive payments for booked Services through payment functionalities integrated into the Platform.
1.7. “Payout” – the transfer of funds by the Platform to the Service Provider’s Stripe Account after deducting the Platform’s commission, in accordance with the rules set out in the Agreement. Subsequent transfers from the Stripe Account to the Service Provider’s bank account are governed by Stripe’s policies.
2. Platform Services
2.1. TimeToBook is an online platform that enables businesses offering activities and experiences ("Service Providers") to list and promote their services, and allows individuals ("Users") to search for and book these services.
2.2. The Platform provides only the technical infrastructure enabling the publication of service offers, booking, and payment processing. It is not a party to any agreements concluded between Service Providers and Users. TimeToBook does not verify the accuracy of the information provided by Service Providers and is not responsible for the quality, safety, legality, or suitability of the services offered. Service Providers bear sole responsibility for complying with applicable laws and fulfilling their contractual obligations toward Users. TimeToBook shall not be held liable for any damage, loss, or claims resulting from the actions or omissions of the Service Providers.
3. Service Provider Obligations
3.1. Service Listings
Service Providers must:
- Provide accurate and comprehensive information about their Services
- Maintain current and precise availability calendars
- Fulfill all confirmed bookings in accordance with the description and agreed terms of service
- Comply with all applicable laws and regulations in the jurisdiction where the Service is provided
- Keep their contact information updated and promptly notify the Platform of any changes affecting service provision
- Service Providers bear full responsibility for any third-party claims arising from the performance of their services, including personal injuries and property damage occurring during or in connection with the service.
3.2. Listing Content Requirements
3.2.1. Photographs
- Maximum file size: 4 MB per image
- Images must accurately represent the actual service
- Clear, high-quality images showing key aspects of the service
- No watermarks or additional text overlays
- Service Providers are prohibited from engaging in any actions intended to circumvent the Platform, including establishing direct contact with Users to provide services outside of the Platform.
- Service Providers are also not allowed to promote competing services or encourage Users to use other booking channels.
3.2.2. Descriptions
The description should include:
- Detailed explanation of the service
- Clear specification of included equipment
- Explicit terms (what is/is not included)
- Participant requirements and restrictions
- Safety guidelines and necessary precautions
3.3. Booking and Availability Management
Service Providers may modify their availability calendar exclusively when no reservations have been confirmed for the given period. In cases where modifications are required due to force majeure circumstances, the Service Provider must cancel existing bookings accordingly.
3.4. Permitted Number of Business Accounts
A Service Provider may register only one business account on the Platform, unless otherwise agreed by the parties.
4. Financial Terms
4.1. Platform Commission
The Platform charges a commission of 10% of the total value of each booking made by a User via the Platform. The commission is automatically deducted from the booking amount before the remaining funds are transferred to the Service Provider.
TimeToBook reserves the right to change the commission rate, provided that Service Providers are notified at least 30 days in advance via electronic means. Continued use of the Platform after this period constitutes acceptance of the new rate.
By accepting these Terms, the Service Provider agrees to the automatic deduction of the commission and any other due amounts from payments processed via Stripe.
4.2. Payment Processing
Payments from Users are processed via Stripe. The payment will be automatically charged to the User 3 days prior to the scheduled start of the booked service. Payouts to Service Providers are made on the 28th day of each month, subject to the following delay periods:
- 14 days from the date of payment for kayaking services,
- 21 days from the date of payment for camping services.
The payout delay is necessary to ensure transaction compliance, allow time for handling complaints, and protect against potential chargebacks.
Service Providers are responsible for initiating transfers from their Stripe account to their bank account in accordance with Stripe's terms.
4.3. Cancellations and Refund Policy
If the Service Provider cancels a confirmed and paid booking for reasons attributable to them, the Platform will issue a full refund to the User via Stripe.
The Service Provider is required to reimburse the commission originally charged by the Platform. This amount may be deducted from future payouts or invoiced by the Platform. The Service Provider agrees to such deductions. The commission reimbursement obligation does not apply if the cancellation results from properly documented force majeure circumstances.
In the case of disputes or complaints, the Service Provider is required to cooperate with the Platform, in particular by providing proof of service delivery or other necessary explanations within a reasonable time. Failure to cooperate may result in temporary suspension of payouts of funds due in connection with bookings.
The Platform forwards User complaints to the Service Provider within 2 days of receipt. The Service Provider is required to respond with supporting evidence within 3 days. If no response is provided, or if the Platform determines the User’s claim to be justified based on available data, the Platform may issue a full refund to the User and deduct the corresponding amount from the Service Provider (via deduction from the Stripe account, future payouts, or invoicing).
5. Legal Compliance
5.1. Service Providers must:
- Obtain and maintain necessary licenses
- Comply with safety regulations
- Maintain appropriate insurance coverage
- Adhere to local and European legal requirements
- Comply with tax laws and provide necessary documentation for reporting purposes
6. Dispute resolution
6.1. Pre-Litigation Process
- Parties agree to resolve disputes through negotiations
- A formal complaint procedure shall be followed before initiating legal action
- The response time for complaints is 30 calendar days
6.2. Mediation
- If disputes cannot be resolved through the complaint process, the parties may agree to mediation
- The mediator shall be selected by mutual agreement
- Mediation costs shall be shared equally by both parties
6.3. Litigation
- If mediation fails, the dispute shall be submitted to the courts
- Exclusive jurisdiction: Polish courts
- Governing law: Polish law
7. Termination
7.1. TimeToBook may terminate the cooperation with immediate effect in the event of:
- repeated or material breaches of the Agreement,
- fraudulent activities or copyright infringements,
- providing false or misleading information,
- failure to comply with Platform standards,
- repeated complaints deemed justified or reports of poor service quality.
7.2. In case of disputes or suspected violations, the Platform may temporarily suspend the Service Provider’s account until the matter is clarified.
7.3. In other cases that do not constitute a gross breach, either party may terminate the Agreement with a 30-day notice period, delivered electronically.
8. Amendments to the Agreement
TimeToBook may modify this Agreement by providing a written notice to Service Providers at least 30 days in advance via email. Continued use of the Platform after the notice period constitutes acceptance of the updated terms.
9. Intellectual property rights
9.1. Ownership
All content uploaded by Service Providers (photos, descriptions, videos) remains their intellectual property. By providing content, Service Providers grant TimeToBook a non-exclusive, royalty-free license to use, publish, and distribute the content within the Platform without modification, unless such modifications are necessary for formatting or compliance purposes.
9.2. Service Provider Warranties
- Service Providers guarantee that uploaded content does not infringe third-party rights
- Service Providers bear full responsibility for copyright claims
- Service Providers agree to indemnify the Platform for any third-party claims related to copyright infringement
9.3. Platform Rights Protection
TimeToBook retains all rights to the Platform’s design, software, and unique elements
10. Technical Interruptions
10.1. The Platform makes every effort to ensure the uninterrupted operation of the Platform. In the event of errors or technical failures (e.g., DDoS attacks, server issues), the Platform will, to the extent possible, inform Users about the issue and the expected resolution time. In addition to interruptions caused by errors and technical failures, other technical interruptions may occur, during which the Platform undertakes actions aimed at developing the Platform and its electronic services, as well as securing them against errors and technical failures.
10.2. The Platform is not liable for damages resulting from such interruptions, subject to consumer rights under applicable law.
The Platform shall not be held liable for delays in payouts or refunds resulting from failures or unavailability of third-party payment systems, including but not limited to Stripe.
11. Force Majeure
11.1. Events of force majeure include, but are not limited to, natural disasters, armed conflicts, government-imposed restrictions, pandemics, cyberattacks, or significant disruptions in payment processing systems, all of which are beyond the control of the parties.
11.2. The affected party shall inform the other party without undue delay, and no later than within 7 days from the occurrence of the force majeure event. Appropriate supporting documentation must be provided.
11.3. The occurrence of force majeure shall suspend the contractual obligations of both parties for the duration of the event. If the force majeure continues for more than 60 days, either party shall have the right to terminate the Agreement with immediate effect.
12. Data Protection and Governing Law
12.1. This Agreement is governed by the laws of Poland.
12.2. Both Parties agree to comply with the General Data Protection Regulation (GDPR) and all other applicable data protection laws in the European Union.
12.3. Service Providers are responsible for processing and managing Users' personal data in accordance with applicable privacy laws.
12.4. Service Providers commit to:
- implementing appropriate technical and organizational measures to protect personal data,
- limiting access to personal data,
- retaining data only for as long as necessary,
- promptly deleting data upon the client’s request or when no longer required.

13. Declarations of the Parties
13.1. The TimeToBook Platform declares that it operates in accordance with applicable laws and is not a party to any agreements concluded between Users and Service Providers. The Platform bears no responsibility for the performance, quality, legality, or suitability of the services offered.
13.2. The Service Provider declares that they hold all licenses, permits, and authorizations required by law to provide the services offered through the Platform and assume full responsibility for their execution toward the Users.
